MBA7105 Legal Aspects of Business
Course Unit Description
This course introduces students to the laws governing business relationships and forms of business organizations, including the legal requirements for the formation of the corporation and partnership. Special contractual relationships affecting business are studied followed by an examination of the law pertaining to secured transactions and bankruptcy procedures.
Course Objectives
The course is intended to
- Help students to understand Basic forms of Business Organizations, Legal rules for corporate governance and General principles of law
- Provide students with general legal knowledge on law of contract, sale of goods, law of agency and insurance laws
- Guide students on drafting negotiable instruments and bills of exchange
- Help students understand nature and developments of company law, process of company registration and drafting memorandum and articles of association.
- Provide students with knowledge on labor laws and arbitration processes.
- Help students to understand regulations on credit markets and laws governing the winding up of business corporations
Learning Outcomes
Upon completion of the course of study the student will be able to:
- Examine the basic legal issues involved in business decision-making, in the areas of property and finance law, as well as the different forms of business organizations
- Describe the company law of Uganda and its application to business operations in Uganda
- Discuss laws governing Business partnerships, contracts, sale of goods, hire purchases and liquidation
- Describe Company registration process and prepare memorandum and articles of association.
- Draft commercial negotiation instruments and bills of exchange
