Course Unit Description

This course is an introduction to basic concepts in Business Law. After an overview of the Ugandan legal system, the course turns to an examination of the fundamental principles of contract law with particular reference to the legal ramifications of the employment contract. Principles of tort liability, including both intentional and negligent torts, are addressed. Finally, legal issues of particular relevance to marketing such as product liability, misleading advertising, warranty and service promises and issues of pricing and distribution, are also examined.

  • Investigate commercial paper and negotiable instruments
  • Describe agency and employment law
  • Recognize laws associated with differing organizational structures

Learning Outcomes
Upon successful completion of this course the students will have reliably demonstrated the ability to:

  • Explain the structure of the Ugandan legal system
  • Discuss the prerequisites of a valid contract and the essential terms of business contracts
  • Analyse the methods of discharging contracts and remedies for breach of contract
  • Explain the law of intentional and negligent torts including product liability and professional liability
  • Discuss the law of employment including the rights and responsibilities of employers and employees
  • Explain legal principles of promotion, price and distribution of products.
