Course Unit Description

Corporate governance is a central and dynamic aspect of business. The importance of corporate governance for corporate success cannot be overstated. Examples of massive corporate failures and collapses resulting from weak systems of corporate governance have highlighted the need to improve and reform corporate governance systems international. 

Objectives of this course are to enable students:

  • Explain mechanisms principles, origin and structures of corporate governance 
  • Elaborate theoretical perspectives of corporate governance debate such as; stakeholder, agency and stewardship theories.
  • Understand corporate governance regulations in respect to Separation of Ownership and Control, Shareholder Democracy and Directors’ Fiduciary Duties and Market Abuse Regulations.
  • Explain corporate governance issues on Role of Company Boards, Selection and roles of Non-Executive Directors and Executive Remuneration and Incentives
  • Explain risk management process, functions of audit committees and ethical issues in corporate governance

Learning Outcomes
At the end of the course the students should be able to:

  • Evaluate mechanisms, principles and structures of corporate governance 
  • Describe the roles of Executive and non executive directors, audit committees and share holders in upholding good corporate governance systems
  • Evaluate the risk management process and ethical issues in corporate governance.
  • Evaluate the role of directors in designing governance systems that improve business performance.
